Our corporate and M&A team focuses on advising institutional and private clients on all aspects of corporate regulations and antitrust issues, cross-border M&A transactions and complex restructuring involving multijurisdictional  groups of entities. 

 

We deliver full range of services working in multi-disciplinary teams supervising transactions of any kind, complexity and at any stage of project implementation.

General corporate services:

 

  • Supporting incorporation and reorganisation of public and limited companies in Russia;

  • Supporting establishment (registration) of representative offices in Russia;

  • Preparing complete set of corporate documents and supporting relevant corporate procedures;

  • Supporting share issue process, sale and purchase of participatory and issued shares in Russian companies;

  • Performing corporate due diligence and providing advisory on the effeciency and risks of existing corporate structure.

 

General M&A services:

  • Advising on cross-border and local M&A transactions under Russian and English law requirments, including: development of transaction corporate and financing structure (business evaluation, preparing financial standing model and report), drafting and negotiating set of transaction documents (inclduing SPA, SHA, put and call option agreements);​​

  • Legal due diligence of companies and assets with respect to corporate, commercial, real estate, environmental requirements, employment and taxation issues; 

  • Review of transactional activities to ensure full compliance with the applicable antitrust legislation;

  •  Coordination of the transaction agreements in antitrust / antimonopoly bodies;

  • Advising on voluntary and mandatory procedures for buyout of shares under Russian legislation;

  • Advising on securities sale and purchase issues and applicable regulations of the regulatory bodies;

  • Execution and supervision of the transaction closing and post-transaction procedures
